This Disclaimer explains the nature of our relationships with those Suppliers and Partners, the limitations of the information and services we provide, and the rights and responsibilities of all parties. It must be read alongside our:
- Terms & Conditions
- Privacy Policy and Data Processing Notice
- Finance Disclaimer
- Acceptable Use Policy
- Cookie Policy
By using the Platform, you acknowledge that you have read and understood this Disclaimer.
2. Our Role as Intermediary
Central Services & Solutions Ltd acts exclusively as a comparison intermediary, switching broker, and referral platform. We are not a utility supplier, energy provider, lender, insurer, or direct service provider in our own right.
Important: All contracts for utility supply, financial products, telecoms services, or any other third-party service are formed directly and exclusively between you and the relevant Supplier or Partner. Central Services & Solutions Ltd is not a party to those contracts and does not assume any obligations or liabilities under them.
Our role is limited to:
- Facilitating the comparison and presentation of available products and tariffs
- Submitting switching requests, finance applications, or referrals to Suppliers on your behalf where instructed
- Providing account management tools, document storage, and market insights
- Communicating application status and relevant information between you and Suppliers
We do not control the conduct, pricing, eligibility decisions, service quality, or contractual obligations of any Supplier or Partner listed on the Platform.
3. Supplier and Partner Network
Our network currently includes, but is not limited to, the following categories and named partners. This list is subject to change without notice as we add, remove, or update our relationships:
- Utility Warehouse — multi-service utility and telecoms provider
- Jellyfish Energy — energy tariff comparison and switching API platform
- Blizzard Telecom — business telephony and connectivity solutions
- Teya Merchant Services — payment terminals and merchant acquiring
- Online Direct — business services referral partner
- Approvity — business finance application and lender network
- Online Direct and relevant suppliers — manual business-credit and supplier-eligibility assessment, with consent where required
- DocuSign — electronic document signing and LOA management
- Various energy, gas, water, broadband, insurance, and telecoms suppliers accessed via API partners and data feeds
- Business finance lenders including but not limited to Iwoca, Funding Circle, Liberis, Capify, and others within the Approvity network
The inclusion of any Supplier or Partner on the Platform does not constitute an endorsement, guarantee, or warranty of their products, pricing, service quality, financial stability, or regulatory compliance. We encourage you to conduct independent due diligence before entering any agreement with a third party.
3.1 Addition and Removal of Suppliers
We reserve the right to add, remove, suspend, or modify our relationship with any Supplier or Partner at any time and without prior notice. This may occur due to commercial, regulatory, performance, or compliance reasons. Where a Supplier is removed from the Platform:
- Any existing contracts you hold directly with that Supplier remain unaffected and enforceable between you and them
- We accept no liability for any disruption, loss, or inconvenience arising from a Supplier's removal from our network
- We will endeavour to notify you via the Platform if a material change to your active services is affected
4. Pricing, Tariffs, and Market Data
Pricing Disclaimer: All prices, tariffs, unit rates, standing charges, and savings estimates shown on this Platform are sourced from third-party APIs, supplier data feeds, and market databases. They are indicative only, subject to change at any time without notice, and do not constitute a binding quotation or offer by Central Services & Solutions Ltd or by any Supplier.
- Live pricing is dependent on real-time API availability from our supplier and data partners — we cannot guarantee uninterrupted access to live pricing data
- Some prices may be cached or delayed and may not reflect the current market rate at the time of display
- Final, binding pricing is set exclusively by the relevant Supplier and is confirmed only after your application or switching request has been reviewed, accepted, and contracted directly with that Supplier
- Savings estimates are indicative only, based on typical usage profiles, your submitted data, and publicly available market benchmarks — actual savings will vary based on your consumption, contract terms, and market conditions
- Historical pricing data presented for illustrative purposes does not guarantee future rates or savings
- We accept no liability for any loss arising from reliance on indicative pricing or savings estimates displayed on the Platform
5. API Availability, System Outages, and Data Errors
The Platform relies on connections to third-party APIs, data feeds, and supplier systems to generate quotes, retrieve tariffs, and process applications. We cannot guarantee the continuous availability, accuracy, or completeness of data received from third-party sources.
- API outages, supplier system downtime, or data feed interruptions may result in unavailability of certain quotes, tariffs, or switching options
- We will endeavour to display clear notifications when live pricing is unavailable and may present cached, estimated, or manually sourced data as an alternative
- Errors or inaccuracies in data received from supplier APIs or third-party data providers are outside our control — we accept no liability for losses arising from such errors
- We reserve the right to temporarily or permanently withdraw any quote, tariff, or switching facility where we have reason to believe the data is inaccurate or the API connection is unreliable
- Planned or unplanned maintenance of third-party systems may affect the availability of specific services without prior notice to us or to you
6. Third-Party Terms, Contracts, and Responsibilities
When you proceed with any Supplier or Partner product through the Platform, you will be subject to that party's own terms and conditions, privacy policy, acceptable use policy, and service agreements. These are separate to and independent of our own policies.
- You are solely responsible for reading, understanding, and accepting a Supplier's terms before entering any contract with them
- We are not responsible for the content, accuracy, legality, or enforceability of any third-party terms
- Any disputes, complaints, or claims regarding a Supplier's products or services must be raised directly with that Supplier and through their complaints process
- We are not liable for the failure of any Supplier to deliver services, honour agreed pricing, or meet contractual obligations
- Where a Supplier changes, withdraws, or modifies a product after you have submitted an application but before a contract is confirmed, we accept no liability for any resulting losses
7. Eligibility, Underwriting, and Acceptance
Presentation of a quote, tariff, or product on the Platform does not constitute a guarantee of eligibility, approval, or acceptance by the relevant Supplier or lender.
- All switching applications, finance applications, and service agreements are subject to the Supplier's or lender's own eligibility criteria, underwriting processes, and acceptance decisions
- We have no control over and accept no liability for any Supplier's or lender's decision to accept, decline, modify, or withdraw an offer
- Eligibility criteria may change without notice and may vary depending on your location, business type, credit profile, energy consumption, or other factors assessed by the Supplier
- A successful quote or indicative offer does not guarantee that a contract will be issued — final acceptance rests solely with the Supplier
- Where an application is declined, we will communicate this to you where possible but we are not obliged or able to provide the Supplier's reasons for decline
8. Credit Checks and Identity Verification
Certain products and services available via the Platform — including business finance applications, merchant services, and some utility contracts — may require a credit check, identity verification, or Know Your Business (KYB) assessment conducted by the Supplier, lender, or their appointed third-party verification provider.
- Credit checks may be conducted on you personally and/or on your registered business by the Supplier or lender — this may include both soft searches (which do not affect your credit rating) and hard searches (which are recorded on your credit file)
- We will inform you where a hard credit search is likely to be conducted before you proceed, where we are aware of this
- Identity verification may require submission of proof of identity, proof of address, company documentation, or director information
- We act as a data controller in relation to the information you provide to us, and as a data processor when transmitting your data to Suppliers on your instruction — full details are in our Privacy Policy and Data Processing Notice
- We accept no liability for the outcome of any credit assessment, identity check, or fraud screening conducted by a Supplier or their verification partners
9. Commission, Referral Fees, and Commercial Relationships
Central Services & Solutions Ltd operates a commercial model that may include receipt of commissions, referral fees, introduction fees, or other remuneration from Suppliers and Partners when a quote, switch, finance application, or referral is completed via the Platform.
- The existence of commercial relationships with Suppliers does not bias the presentation of comparison results or recommendations — we aim to present available options fairly and transparently
- Not all suppliers or products available in the market may be listed on our Platform — our network reflects current commercial partnerships and API integrations
- Commission arrangements do not increase the price you pay — our fee is separate from the rates or charges applied by the Supplier
- Where required by FCA regulation or applicable law, commission disclosure will be made to you before you proceed with a regulated product
- For business energy and non-regulated utility products, the existence of a commission arrangement is disclosed by this Disclaimer and you consent to this by using the Platform
- If you wish to know the specific commission amount associated with a particular product, please contact us at garrykelly@centralservicessolutions.co.uk before proceeding
10. Finance Products and Regulatory Status
Where the Platform facilitates access to business finance products, loans, or credit facilities, the following applies:
No Financial Advice: Nothing presented on this Platform constitutes regulated financial advice, a personal recommendation, or a financial promotion as defined under the Financial Services and Markets Act 2000 (FSMA). You should seek independent financial advice before committing to any finance product.
- Business finance products are introduced to lenders via our partner network (including Approvity and associated lenders) — we act as an unregulated introducer for business-to-business finance only
- Where any regulated financial product is presented, this will be clearly identified and handled in compliance with applicable FCA requirements
- All lending decisions are made exclusively by the lender — we have no influence over credit assessments, interest rates, repayment terms, or lending outcomes
- Business loans and finance facilities are not regulated consumer credit products under the Consumer Credit Act 1974 where they are advanced solely for business purposes — however, sole trader and small partnership lending may attract additional protections
- Please refer to our Finance Disclaimer for full details regarding finance product limitations and regulatory disclosures
11. AI-Assisted Recommendations and Market Insights
The Platform uses artificial intelligence and algorithmic tools to generate market insights, savings recommendations, and product suggestions. These are provided for informational and guidance purposes only.
- AI-generated recommendations are not tailored financial, legal, or commercial advice and should not be relied upon as such
- The accuracy of recommendations depends on the completeness and accuracy of the data you provide
- Market insight data is sourced from third-party feeds and publicly available information — we do not warrant its accuracy or completeness
- Recommendations may reflect our commercial relationships with Suppliers — refer to Section 9 of this Disclaimer
- We accept no liability for decisions made in reliance on AI-generated recommendations or market data displayed on the Platform
12. Service Availability and Geographic Restrictions
Not all Suppliers, products, tariffs, or services available through the Platform will be accessible to all users at all times.
- Availability may be limited by geographic region, meter type, energy profile, business sector, company size, credit profile, or other eligibility factors set by individual Suppliers
- Some services are available in Great Britain only and may not be available in Northern Ireland or certain offshore territories
- API connectivity issues, Supplier restrictions, regulatory constraints, or system maintenance may limit what is available to you at any given time
- We reserve the right to restrict or withdraw access to any service, quote, or Supplier connection at any time without prior notice
13. Manual Review and Processing Times
Certain quotes, switching requests, applications, and document submissions may be subject to manual review by our team, the relevant Supplier, or a third-party verification provider before they are confirmed, activated, or progressed.
- Processing times may vary depending on Supplier workloads, document verification requirements, and the complexity of your application
- We will communicate the status of your application through the Platform where we are able to do so, but we cannot guarantee specific processing timescales set by third parties
- Delays caused by Supplier systems, lender underwriting queues, or regulatory processing requirements are outside our control
14. Force Majeure and Events Outside Our Control
We shall not be liable for any failure or delay in the availability of Supplier services, data feeds, API connections, or Platform functionality where such failure or delay results from events outside our reasonable control, including but not limited to:
- Acts of God, extreme weather events, or natural disasters
- Supplier insolvency, administration, or regulatory action against a third-party provider
- National or regional energy market disruptions, Ofgem interventions, or government regulatory changes
- Cyberattacks, denial-of-service events, or third-party infrastructure failures
- Internet or telecommunications outages affecting third-party API providers
- Changes in law, regulatory requirements, or FCA guidance that require modification of services
- Industrial action affecting Suppliers or their infrastructure providers
In such circumstances we will endeavour to restore service availability as quickly as reasonably practicable and will communicate disruptions via the Platform where possible.
15. Limitation of Liability
To the fullest extent permitted by applicable law:
- Central Services & Solutions Ltd accepts no liability for the acts, omissions, decisions, errors, or failures of any Supplier, Partner, lender, API provider, or third-party data source
- We accept no liability for any loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss arising from your use of, or inability to use, any Supplier's products or services
- Our aggregate liability to you in connection with the services described in this Disclaimer shall not exceed the total fees (if any) paid by you directly to Central Services & Solutions Ltd in the 12 months preceding the relevant claim
- Nothing in this Disclaimer limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded under English law
- Where you are a consumer, your statutory rights under the Consumer Rights Act 2015 and other applicable consumer protection legislation are not affected
16. Regulatory and Compliance Framework
Central Services & Solutions Ltd operates in compliance with applicable UK regulations. Where specific regulated activities are conducted, these will be clearly identified on the Platform. Our regulatory position includes:
- We are not authorised or regulated by the Financial Conduct Authority (FCA) — we do not conduct regulated credit broking, regulated consumer credit, or any other FCA-regulated activity. Finance products facilitated via the Platform are introductions for business purposes only and are therefore generally outside the scope of FCA consumer credit regulation
- We comply with UK GDPR and the Data Protection Act 2018 in relation to all personal data processed through the Platform
- Energy comparison and switching services are provided in accordance with Ofgem's guidelines for Third Party Intermediaries (TPIs)
- We maintain appropriate commercial agreements with all Suppliers and Partners in our network
- Where regulatory requirements change and affect our ability to provide specific services, we will communicate this to affected users as soon as reasonably practicable
17. Changes to This Disclaimer
We may update this Disclaimer at any time to reflect changes in our Supplier network, regulatory requirements, platform capabilities, or commercial arrangements. Where material changes are made:
- The "Last updated" date at the top of this document will be revised
- Registered users will be notified by email or in-platform notification where reasonably practicable
